Vaughn Communications, Inc. operates in two business segments namely the communication division and the products division. The communication division is a multimedia business services provider providing high volume video tape duplication and degital media replication for the corporate, educational and institutional user. The products division is a manufacturer and distributor of gift items, leather products, and custom designed soft goods including silk screened T-shirts, sweatshirts and souvenir leather products sold by gift shops and western stores. The company also provides various related services such as order fulfillment, video editing, graphics design, international standards conversion, MPEG compression and rental of video production and editing eauipment on short-term basis. In 1997 Vaughn acquired certain assets of Certified Media Corporation and of Dub South Acquisition, LLC. Communications division accounted for 84% of 1997 revenues & product division, 16%
