AMRESCO Capital Trust. The Group's principal activity is to invest in real estate related assets. It has elected to operate as a real estate investment trust under Sections 856 through 860 of the Internal Revenue Code of 1986, as amended. As an investment trust its business objective is to maximize shareholder value through investments in mid to high-yield real estate related assets. It has made investments in various commercial mortgage loans including participating loans, mezzanine loans, acquisition loans, construction loans, rehabilitation loans and bridge loans. Amreit Managers LP, its affiliate, is managing its day-to-day operations. In July 2001, the Group filed a voluntary petition for relief under Chapter 11 of the United States Bankruptcy Code. Prior to that, in 2000, its shareholders had approved the plan of liquidation and dissolution of the Group.
