A nondisclosure contract is an agreement between two or more parties to keep trade secrets or other financial information from being available to the public. These agreements often protect specific products or intellectual property. This is an important document for companies that have a research and development department. An NDA will prevent an employee from taking a company's secrets to a competing company.

There are laws and regulations at the federal level if no agreement is reached at the state level.
