Can anyone provide an example of a sound SaaS (Software as a Service) contract?
I have a SaaS contract that we have used for years, I am looking for a different version to see how much things have changed over the years. In addition, I am trying to get our MSA down from 15 pages if possible.
As in, "can anyone give me a sound SaaS contract template that I can use for free"? The answer to that is no. There are lots of templates out there and lots more companies offering SaaS on terms that you can filch for your own purposes, but SaaS is a very broad church - there are lots of different varieties. If you want something sound, you need to pay a lawyer to help you put something together that fits your business. Until you can afford that, you're going to have to wing it with the best looking rubbish you can find on the web and hope that it won't cause a problem whilst you're selling to your Innovators and Early Adopters. When you reach the Early Majority stage, you have to have a proper set of terms in place or you're asking for trouble...
Hi Brian, what will the governing law of the agreement be? I see that you are in the United States - we are in the UK and so specialise in UK business law. Kind regards.
I can create one for you any time. OutsideGC is a different kind of law firm for the new digital era. We are a 100% virtual firm. With no expensive office space, and no overhead, we charge 1/2 to 1/3 what a traditional law firm does. And all our lawyers have practical business experience. Check out my bio, for example, at http://www.outsidegc.com/brian-heller/ I have many great templates. That's a start, but you can get templates anywhere, and that's not the same as legal advice. For just a few hours of legal work (typically under $1,000 for standard deals and circumstances) you can get it fully customized to your needs.
You can get one inexpensively at www.docstoc.com/. I have found Docstoc provides some of highest quality and largest library of documents, videos and resources to start and grow small businesses. Recently I took two of their video courses and was very impressed. The two courses and all the documents I wanted over the course of 1 month was just $19.95. They also have longer term subscriptions. One of the courses I took was How to Start a Business by Jason Nazar, Founder and CEO of Docstoc. It was the best 4.5 hour training session I've had on the subject. The other was a WordPress course.
This is John again. I'm in the process of launching a new business that requires a similar type document. The 12 page document I found at www.docstoc.com/ has required changes to fit my business model, but overall I am pleased. In particular I wanted a document that an average person could read and understand.
