Can I fire a shareholder (partner & co-founder) if he has 20% with a cliff period?
I want to fire my co-founder. He has a cliff and vesting period. He has 20%. He got the first action with me and is a shareholder. We don't have any agreements with him.
I am the president, founder, and CEO and I'm on the Board of Directors, but he is not. He will not sell actions to me.
What do I need to do? Do I tell him I am firing him now or should I go to an attorney first? If I go to an attorney, how long will the process take?
